Terms of Service

1. The Service
XceptionIQ provides an AI-assisted audit trail exception review platform designed for use in regulated laboratory environments. The platform surfaces candidate exception findings for human review; it does not make compliance determinations on behalf of users. All findings require human review and approval before being included in any final report.
2. Eligibility
You must be at least 18 years old and authorised to enter into agreements on behalf of your organisation to use the platform. By using XceptionIQ, you represent that you have this authority.
3. Acceptable Use
You agree to use XceptionIQ only for lawful purposes and in accordance with these Terms. You must not:
- Upload data you do not have the right to process.
- Attempt to circumvent access controls or security measures.
- Use the platform to generate outputs that misrepresent compliance status.
- Reverse engineer, copy, or resell the platform or its outputs.
- Upload malicious code, malware, or data intended to disrupt the service.
4. Human Responsibility for Compliance Decisions
XceptionIQ is a decision-support tool. The platform surfaces AI-generated candidate exceptions with supporting evidence. All compliance determinations — including whether an exception is material, how it should be classified, and what corrective action is required — remain the sole responsibility of qualified human reviewers within your organisation. XceptionIQ does not assume liability for compliance outcomes based on platform outputs.
5. Data Ownership
You retain ownership of all data you upload to the platform. We process your data solely to provide the service. We do not use your uploaded audit trail data to train AI models or share it with other organisations.
6. Intellectual Property
The XceptionIQ platform, including its software, design, AI models, detection policies, and documentation, is the intellectual property of XceptionIQ and its licensors. Nothing in these Terms grants you ownership of any XceptionIQ intellectual property.
7. Availability and Modifications
We aim to provide a reliable service but do not guarantee uninterrupted availability. We reserve the right to modify, suspend, or discontinue features with reasonable notice. We will not make changes that materially reduce core functionality without prior notice.
8. Limitation of Liability
To the fullest extent permitted by applicable law, XceptionIQ shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform. Our aggregate liability shall not exceed the amounts paid by you for the service in the 12 months preceding the claim.
9. Termination
Either party may terminate access to the platform with reasonable notice. Upon termination, you may request an export of your data. We will retain data for 30 days after termination before deletion unless you request earlier deletion or applicable law requires otherwise.
10. Governing Law
These Terms are governed by the laws of the jurisdiction in which XceptionIQ operates. Any disputes arising from these Terms shall be resolved through good-faith negotiation and, if necessary, binding arbitration or the courts of that jurisdiction.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes with at least 30 days notice via email. Continued use of the platform after the effective date of changes constitutes acceptance.
